On March 22, 2018, NCR Corporation (NCR or the Company) announced that William R. Nuti, Chairman of the Board and Chief Executive Officer, will retire from NCR due to disability. NCRs Board of Directors has been actively engaged in a process to recruit, evaluate and interview candidates to succeed Mr. Nuti, and his retirement will become effective once that process has been completed. Upon his retirement, Mr. Nuti will become Chairman Emeritus of the NCR Board of Directors, and NCR expects to retain Mr. Nuti on a part time basis as a consultant for transition and continuing advisory services.
In addition, Mark D. Benjamin, President and Chief Operating Officer, has notified NCR of his decision to resign from NCR, effective March 21, 2018 (the Separation Date), to pursue another opportunity. In connection with Mr. Benjamins resignation, NCR and Mr. Benjamin entered into a letter agreement, dated March 19, 2018 (the Letter Agreement), under which, among other things, he agreed to provide certain consulting and transitional services to the Company through April 6, 2018. Mr. Benjamin also agreed to execute a general release of claims in favor of the Company and reaffirmed certain restrictive covenants pertaining to non-competition, non-solicitation, non-recruitment/hiring and non-disclosure. In exchange, Mr. Benjamin will be entitled to receive a lump sum cash payment of $1.5 million, payable 30 days after the Separation Date.
Paul Langenbahn, currently NCRs Executive Vice President, Global Software, has been appointed by NCRs Board of Directors to serve as NCRs Chief Operating Officer, effective as of the Separation Date. Mr. Langenbahn, 49, became NCRs Executive Vice President, Global Software, in January 2017. From April 2014 to December 2016, Mr. Langenbahn served as Senior Vice President and President, Hospitality, and before that, following NCRs acquisition of Radiant Systems, Inc. in 2011, he served as Vice President, Global Sales, Marketing and Services for NCRs Hospitality division. Prior to joining NCR in 2011, Mr. Langenbahn was President of Radiant Systems Hospitality division, and he held various other leadership roles in sales, professional services, solution management and general management at Radiant Systems, where he was instrumental in the companys development and growth. NCR expects that the Board of Directors will finalize changes to Mr. Langenbahns compensation resulting from this appointment at or prior to the Boards next regularly scheduled meeting following the annual meeting of its stockholders on April 25, 2018. Mr. Langenbahn does not have a direct or indirect material interest in any transaction required to be disclosed pursuant to Item 404(a) of Regulation S-K.

NCR Chairman and CEO Bill Nuti to Step Down for Health Reasons
Paul Langenbahn Named COO, Succeeding Mark Benjamin
Company Reaffirms 2018 Q1 and Full Year Financial Guidance
ATLANTA March 22, 2018 NCR Corporation (NYSE: NCR) today announced that Bill Nuti, Chairman and Chief Executive Officer, has informed the Companys Board of Directors that he intends to step down for health reasons upon the naming of a new CEO. The Board, with the assistance of Spencer Stuart, has been conducting a thorough CEO search which is expected to be completed in the next couple of months. Upon stepping down, Nuti will be named Chairman Emeritus and serve as a consultant to NCR.
NCR also announced that Paul Langenbahn, Executive Vice President of NCR Software, has been promoted to Chief Operating Officer, succeeding Mark Benjamin who has resigned to pursue an opportunity outside NCR. Langenbahn has been an executive of NCR for seven years, most recently as Executive Vice President, NCR Software, leading the companys global software business and was President of NCRs Hospitality Division from 2014 to 2016. Prior to NCR, he served as President, Radiant Hospitality Business Unit, until the firm was acquired by NCR in 2011.
Chinh Chu, the Boards Independent Lead Director, said, As the third-longest-serving CEO in NCRs 134-year history, Bill Nuti is a great leader who has had a profound impact on the companys successful evolution. Bills vision and focus on execution has driven the reinvention of NCR, transforming our company into a software and services-led organization, and we are pleased that he will stay involved with the company. About Bill Nuti
Bill Nuti joined NCR in 2005 as President and CEO and was named Chairman in 2007 upon completion of the successful $5 billion spin-off of Teradata. Over his tenure as CEO, NCRs revenue increased from approximately $4 billion to $6.5 billion, operating margins more than tripled, and NCR saw significant growth in cash flows and recurring revenues. Through organic investment and M&A, Nuti also played a key role in creating NCRs $2 billion software business, including its $600 million cloud business, which is now driving ~70% of NCRs profits. NCR has also become a leader in working with local communities to foster the creation of STEM jobs across the globe, and the company has been recognized for its humanitarian contributions and its commitment to employee training and development.

Paul Langenbahn has held sales and general management leadership positions at NCR, most recently Executive Vice President, NCR Software. In this role, he led the companys global software business and was instrumental in growing NCRs omni-channel platform, channel transformation and digital enablement solutions. He previously served as Senior Vice President and President of NCRs Hospitality Division from 2014 to 2016, where he achieved double-digit operating income growth driven by software and cloud, and as Vice President, Global Field Operations from 2012 to 2014. Prior to joining NCR, he served in various leadership roles at Radiant Systems Inc., including as President, Radiant Hospitality Business Unit, from 2007 until the firm was acquired by NCR in 2011.
